  • The department advises and assists its clients in all legal issues pertaining to their companies or corporations from the first stages of incorporation through to liquidation proceedings. This includes advising shareholders and executive managers on how to resolve governance matters and in implementing employee shareholder schemes.
  • The department carries out legal due diligences and assists its clients with reorganisation schemes (mergers, spin-offs, partial asset investments, dissolution-mergers¡­), with share participation schemes (capital investments, venture capital) and with the purchase or sale of titles and/or assets (LBO, LBI¡­). This assistance extends to companies inviting the public to subscribe and/or whose activities are regulated (informing the market, obtaining authorisation from relevant regulating bodies) including implementation of their stock exchange transactions (IPO, take over bids¡­).
  • The department assists and advises in legal proceedings whether amicable (ad hoc mandates, reconciliatory proceedings) or contentious (protective measures, recovery schemes or liquidations by order of the court).
  • Finally, it assists its clients in acquiring assets of bankrupted companies and in defending them in litigation proceedings when summoned in their capacity as managing executives, co-contractors, creditors or sub-contractors.
